Responsible Business Policy

Tsunami Tsolutions believes we should set an example for responsible business practices. This policy outlines our employees’ responsibilities related to Environmental, Social and Governance (ESG) practices.

Tsunami Tsolutions is committed to sustainability and is focused on minimizing our impact on the Environment and helping to address today’s societal challenges. We must be constructive and solution-oriented to advance sustainable, long-term growth in the world in which we live. By engaging with stakeholders across our business – we can do our part to improve sustainability, better serve our community, and simultaneously deliver exceptional performance for our Customers. We also believe in strong ethical behavior and prudent risk management processes that help ensure that we as a company act in the best ways possible to drive positive change in our industry and beyond.

Tsunami Tsolutions recognizes that the world faces environmental challenges and is committed to promoting a healthy environment. As an organization that engages in the support of aerospace and defense OEM’s Operators and MROs, we enable our customers to improve their business processes allowing them to become more efficient in operations and to reduce cost and consumption of resources. Tsunami Tsolutions conducts its operations in compliance with all applicable environmental laws and regulations.

In our own facilities we are committed to extending the life of office and computer hardware where appropriate to reduce the damaging environmental effects of excessive manufacturing and over consumption of goods. We also work to update and replace our business and office support equipment with more energy efficient solutions and encourage our employees to do the same.

We believe it is important to be mindful of our carbon footprint. We support the reduction in emissions by applying techniques such as secure video conferencing vs travel when appropriate and have allowed employees to reducing their own through reducing the requirement to commute with our hybrid work policy. As we expand our environmental responsibility initiatives, we encourage the identification of broader solutions for us to incorporate into our daily operations.

We employ a fair pay practice which ensures that Tsunami Tsolutions’s pay practice is competitive with the market for the same or similar jobs, qualifications, and experience for companies of our size. We believe that direct channels of feedback from our employees allows us to stay connected to all areas of the business getting to the core of employee concerns and recommendations. We have created channels for anonymous feedback with applications like Officevibe. We also conduct monthly skip level meetings with Executive Management. We believe that the best solutions can come from anywhere in the organization and creating safe spaces to share information is a competitive advantage by giving all employees an equal playing field.

Wellness, both physical and mental, is the cornerstone of our employee benefit programs. Our extensive benefit choices are designed to help employees meet their own specific needs. We believe policies that help employees balance work and life more effectively are fundamentally important allowing employees to be truly present when at work and when at home. We have set up a hybrid work policy to help employees manage their work-life balance.

Philanthropic initiatives, we encourage employee involvement of their time, talent, and resources to worthy causes both close to home and around the globe. Tsunami Tsolutions matches employee’s donations of money or time with monetary support on an annual basis through our Tsunami Cares and Dollars for Doers Programs. We intend to further improve our social impact across our organization and within the greater community.

We are also committed to standing against illegal, unethical, and exploitative labor practices as described in our Anti-Human Trafficking Policy.

Tsunami Tsolutions’ goal is to assure the strength, integrity, and vitality of the Company for its customers, employees, and the communities in which we operate. Tsunami Tsolutions’ Code of Business Conduct and Ethics, which applies to all officers and employees, serves as the foundation for high standards of integrity and ethics, the deterrence of wrongdoing and the promotion of compliance with applicable regulations. Tsunami Tsolutions maintains a robust Anti-Corruption Policy and ensure that all team members are aware their responsibility not just to themselves or to the company, but to society as large. As we expand our Responsible Business initiative, we will seek ways to further optimize our governance process.

Suppliers/Vendors engaged in providing products and services to Tsunami Tsolutions are expected to act in a manner that is consistent with our Code of Business Conduct and Ethics. Prior to initiating detailed business discussions, Tsunami takes the appropriate steps to ensure that the companies we do business with are not on the denied parties list and ensure that aspects of their quality management systems and governance are considered.

Anti-Corruption Policy

Tsunami Tsolutions strives to earn the respect of our customers and stakeholders based on the quality of our products and services as well as how we do business. We face a wide range of business and compliance risks, including those associated with corruption. Tsunami Tsolutions is committed operating our business with integrity at all times. We have zero tolerance for corruption or bribery, and we are dedicated to building a culture that fosters openness, trust, and accountability.

This policy applies to all personnel, officers, directors, and independent contractors of the Company worldwide including its partners, joint-ventures and subsidiaries (“personnel”). This document gives specific details on the Tsunami Tsolutions’ Policy prohibiting corruption in the performance of business operations and individual responsibilities for adherence to the policy.

It is the policy of Tsunami Tsolutions to ensure compliance by its leaders, personnel and covered persons, including representatives, consultants and other contracted third parties, with the Foreign Corrupt Practices Act of 1977 (FCPA) in the United States, the Corruption of Foreign Public Officials Act (CFPOA) and the Criminal Code in Canada, together with other applicable anti-corruption and anti-bribery laws and regulations applicable to the Company’s Business anywhere in the world (“anti-Corruptions Laws’)

Tsunami Tsolutions has zero tolerance for any corruption in business activities, bribes or other improper or unauthorized payments that directly or indirectly make, offer, or promise to make kickbacks, benefits, or advantages to any person, individual, organization, or entity. These actions are prohibited by the Policy and will result in termination of employment. A violation of this Policy can occur even if a bribe or other corrupt practice fails to achieve the desired outcome.

Personnel are expected to adhere to the spirit of this Policy concerning all aspects of the Tsunami Tsolutions business anywhere in the world. It is the responsibility of Personnel to be aware of how each situation may violate or lead to a violation of this Policy and Anti-Corruption Laws. Our success relies on abiding by our core principles — regardless of what might be seen as customary or acceptable in a given market or region.

Anti-Human Trafficking Policy

Tsunami Tsolutions and the United States Government prohibit trafficking in persons. The U.S. Government’s policy prohibiting trafficking in persons is available at 48 CFR § 52.222-50 and is summarized below under the heading: “Summary of U.S. Government Policy of Prohibiting Trafficking in Persons.”

Tsunami Tsolutions is committed to a work environment that is free from human trafficking and slavery, which for purposes of this policy includes forced labor and unlawful child labor. Tsunami Tsolutions will not tolerate or condone human trafficking or slavery in any part of our global organization.

Tsunami Tsolutions employees, subsidiaries, contractors, subcontractors, vendors, suppliers, partners and others through whom Tsunami Tsolutions conducts business must avoid complicity in any practice that constitutes trafficking in persons or slavery.
